Assumes a lookback plan (buy at the lower of offering/purchase price minus discount). Qualifying disposition: discount measured off the offering-date price is ordinary income, the rest is long-term capital gain. Disqualifying: the full bargain off the purchase-date price is ordinary income. Planning model, not tax advice.

1. Nominal APY vs. Real Post-Inflation Yield

A common pitfall in yield farming and staking is prioritizing high nominal APY percentages without factoring in baseline network token inflation. For instance, if a network offers 14% nominal staking rewards but dilutes circulating supply by 10% annually, your real purchasing power expansion is only ~3.6%.

2. Liquid Staking Derivatives (LSTs) & Capital Efficiency

Liquid staking protocols (such as Lido stETH, Rocket Pool rETH, and JitoSOL) allow institutional participants to maintain yield generation while retaining liquidity for DeFi lending and liquidity provision. However, LSTs introduce smart contract and depeg risk that must be modeled into portfolio variance.

How ESPP Discounts and Taxes Work

An Employee Stock Purchase Plan lets you buy company stock at a discount — typically 15% — through payroll deductions. Most plans add a lookback: you buy at the lower of the offering-date or purchase-date price, minus the discount. If the stock rose during the offering period, your real discount is far bigger than 15%.

The two dispositions

Qualifying disposition (hold 2+ years from the offering date AND 1+ year from purchase): the discount measured off the offering-date price is taxed as ordinary income; everything above that is long-term capital gain. This is the tax-efficient path.

Disqualifying disposition (sell early): the entire bargain — purchase-date market value minus what you paid — is ordinary income. Only appreciation after purchase gets capital-gains treatment.

Worked example

Offering price $100, purchase-date price $120, 15% discount with lookback: you pay $85/share. Sell at $150. Qualifying: $15/share ordinary income ($100-$85), $50/share long-term gain ($150-$100). Disqualifying: $35/share ordinary income ($120-$85), $30/share capital gain ($150-$120). The qualifying path shifts $20/share from ordinary rates to lower capital-gains rates.

The catch

ESPP shares concentrate your wealth in your employer — the same company that pays your salary. Many advisors sell at purchase and diversify, treating the discount as a cash bonus. Compare equity-heavy offers with our job offer comparison calculator.

ESPP: Frequently Asked Questions

What is an ESPP lookback?

A lookback lets you buy at the lower of the stock price on the offering date or the purchase date, minus the discount. If the stock rose, your effective discount exceeds the headline 15%.

What is a qualifying vs disqualifying disposition?

Qualifying: you hold 2+ years from the offering date and 1+ year from purchase — discount off the offering price is ordinary income, the rest is long-term capital gain. Disqualifying: sell earlier and the full bargain is ordinary income.

How is the ESPP discount taxed?

Part of the discount is always ordinary income. In a qualifying disposition it is measured off the offering-date price; in a disqualifying disposition, off the purchase-date price.

Should I max out my ESPP?

Often yes — a 15% discount with lookback is a near-guaranteed return. But do not let the shares pile up; concentration in one stock (your employer) is the main risk.

What is the ESPP contribution limit?

The IRS caps ESPP purchases at $25,000 of stock (valued at the offering-date price) per calendar year.
